Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services provided by MMT Studio ("MMT Studio," "we," "us," or "our") (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

2. Description of Services

MMT Studio provides mobile application design and development services for Android and iOS, along with related design, engineering, release, and maintenance services. Specific deliverables, timelines, and fees for engaged projects are set out in a separate proposal, statement of work, or agreement ("Project Agreement"), which forms part of these Terms.

3. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, and capable of forming a binding contract to use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

4. Accounts and Registration

Certain features may require an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use. We are not liable for losses arising from your failure to safeguard your credentials.

5. Acceptable Use

You agree not to:

• Use the Services in violation of any applicable law or regulation;
• Infringe the intellectual property or other rights of any party;
• Upload malicious code or attempt to disrupt, compromise, or gain unauthorized access to the Services or related systems;
• Reverse engineer, resell, or exploit the Services except as expressly permitted;
• Use the Services to transmit unlawful, harmful, or misleading content.

6. Intellectual Property

Unless otherwise agreed in a Project Agreement, MMT Studio retains ownership of its pre-existing materials, tools, frameworks, and know-how. Upon full payment, ownership of the final custom deliverables created specifically for a client transfers to that client, except for third-party and open-source components, which remain subject to their respective licenses. Our name, logo, and brand assets remain our property.

7. Client Responsibilities and Project Terms

For engaged projects, the client agrees to provide timely feedback, required content, access, and approvals. Delays in client responsibilities may affect timelines and costs. Changes to an agreed scope may require a written change order and adjustment to fees and schedule. Specific terms in a Project Agreement prevail over these Terms where they conflict.

8. Fees and Payment

Fees, payment schedules, and invoicing terms are set out in the applicable Project Agreement. Unless stated otherwise, invoices are due within the period specified, and late payments may incur interest or suspension of work. Fees are exclusive of applicable taxes, which are your responsibility. Except as required by law or expressly agreed, payments are non-refundable.

9. Third-Party Services and App Stores

The Services and delivered applications may rely on third-party platforms, SDKs, and app stores (including the Apple App Store and Google Play), each governed by its own terms and policies. We do not control and are not responsible for third-party services, and their availability or policy changes may affect the Services. You are responsible for complying with applicable app-store requirements for products you own and distribute.

10. Disclaimers of Warranties

Except as expressly stated in a Project Agreement, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.

11. Limitation of Liability

To the maximum extent permitted by law, MMT Studio and its personnel will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services. Our total aggregate liability for any claim will not exceed the amounts you paid to us for the Services giving rise to the claim in the twelve (12) months preceding the event.

12. Indemnification

You agree to indemnify and hold harmless MMT Studio and its personnel from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Services, your content, or your violation of these Terms or applicable law.

13. Termination

We may suspend or terminate access to the Services at any time if you breach these Terms or where required by law. Either party may terminate a Project Agreement in accordance with its terms. Provisions that by their nature should survive termination — including intellectual property, payment obligations, disclaimers, limitation of liability, and indemnification — will survive.

14. Governing Law

These Terms are governed by the laws of the jurisdiction in which MMT Studio is established, without regard to its conflict-of-laws principles. Any dispute will be subject to the exclusive jurisdiction of the competent courts of that jurisdiction, unless otherwise required by applicable law.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
